The Anil Agarwal Foundation (AAF) is the philanthropic arm of Vedanta Group, founded by industrialist Anil Agarwal. Its mission is to empower communities, transform lives, and contribute to nation-building through sustainable and inclusive development initiatives.

Here are some of its key focus areas:

• Healthcare & Nutrition: AAF has impacted over a million people through healthcare initiatives and nutrition programs.
• Women & Child Development: Through projects like Nand Ghar, the foundation has modernized over 8,000 Anganwadis across 15 states, benefiting more than 300,000 children and 200,000 women.
• Animal Welfare: The Animal Care Organization (TACO), launched in 2022, provides shelter, veterinary care, and wildlife conservation support, including partnerships with Ranthambore and Kaziranga National Parks.

invites qualified professionals or firms to submit proposals for providing end-to-end compliance management services related to corporate, tax, GST, and statutory laws, as outlined in this document.

 

2. Scope of Work

The selected service provider will be responsible for timely execution and submission of the following compliance items:

A. Company Law Compliances

• Filing of financial statements (AOC-4/ AOC-4 CFS/ AOC-4 XBRL) within 30 days post-AGM
• Filing of Annual Return (MGT-7/7A) within 60 days post-AGM
• Directors’ Disclosure of Interest (MBP-1)
• Return of Deposits (DPT-1)
• Annual Return on Foreign Liabilities and Assets (FLA)
• Half-yearly MSME payment returns (MSME-1)
• Director KYC (DIR-3 KYC)
• Board Resolution filings (MGT-14)
• Certification by PCS (MGT-8)
• Ad-hoc regulatory opinions on MCA notifications

B. Income Tax Compliances

• Filing of Income Tax Return (ITR-6)
• TDS returns (24Q, 26Q) and monthly deposit
• Replies to Income Tax notices and SCNs
• TDS Certificates on Salary (Form 16) and Non-salary (Form 16A)
• Donation Statement (Form 10BD)

C. GST Compliances

• Monthly filings of GSTR-1, 3B, and 7
• Filing of GST Annual Return (GSTR-9, 9C)

D. Event-Based Compliances

• Auditor appointments (ADT-1)
• Director changes (DIR-12)
• Share capital modifications (SH-7)
• Share allotments (PAS-3)
• FCGPR filings for foreign investment
• Director disqualifications (DIR-8)
• Charge modifications and satisfactions (CHG-1, CHG-4)
• Change of registered office (INC-22)

E. Need-Based & Miscellaneous Compliances

• FCRA registration and renewal under Income Tax Act
• Drafting, vetting of MoUs
• CSR-related advisory
• Professional tax follow-ups

F. Board Meetings & AGM Protocol

• Ensure compliance with board meeting frequency (at least two annually)
• Preparation of Board/AGM notices, reports, proxy forms, and statutory disclosures

3. Invoicing & Payment Terms

• Monthly, quarterly, or annual billing based on nature of service
• Specific events billed on need basis
• Reimbursement of statutory fees for MCA and other filings

4. Proposal Requirements

Interested parties should submit:

• Profile and relevant experience
• List of key personnel
• Approach and methodology
• Fee structure
• Estimated turnaround times
• Client references

5. Evaluation Criteria

Proposals will be evaluated on:

• Relevant experience and expertise
• Cost-effectiveness
• Responsiveness and support capabilities
• Compliance handling methodology

6. Submission Deadline
