Position: Associate Manager – Legal Compliance
Location: Ahmedabad
Salary: INR 5.40 LPA to 7.02 LPA ( Depending on Experience)
Position Overview:
We are looking for an Associate Manager – Legal, Compliance & Procurement with a strong legal background to support the organization across legal documentation, contracts and agreements, statutory and regulatory compliance, vendor governance, procurement compliance, risk management, and administrative operations.
The ideal candidate should be an LLB graduate with strong drafting, documentation, legal research, negotiation, and compliance management skills, along with the ability to work closely with internal teams, vendors, consultants, partners, and external legal professionals.
Key Responsibilities
1. Legal Documentation & Contract Management
- Draft, review, negotiate, and maintain various organizational agreements, contracts, MoUs, vendor agreements, consultancy agreements, service agreements, NDAs, partnership agreements, and other legal documents.
- Review agreements received from vendors, partners, clients, consultants, and other external stakeholders and identify potential legal, commercial, and compliance risks.
- Ensure agreements adequately protect the organization's interests and are aligned with applicable laws and internal policies.
- Coordinate with external legal counsel wherever specialized legal advice is required.
- Maintain a centralized repository of contracts, agreements, legal documents, renewals, and related correspondence.
- Track contract validity, expiry, renewal, termination, and notice periods.
- Support negotiation of contractual clauses relating to payment terms, liability, indemnity, confidentiality, intellectual property, termination, dispute resolution, data protection, and other relevant matters.
- Ensure proper execution, signing, stamping, and documentation of agreements.
2. Legal Compliance & Regulatory Support
- Monitor applicable statutory, regulatory, and legal compliance requirements relevant to the organization's operations.
- Maintain compliance calendars and trackers for applicable registrations, licenses, agreements, renewals, filings, and statutory requirements.
- Conduct legal research on laws, rules, notifications, and regulatory developments relevant to the organization's activities.
- Support implementation of changes arising from new or amended laws and regulations.
- Coordinate with internal departments and external professionals to ensure timely completion of compliance requirements.
- Maintain proper records and evidence of compliance for audit and management review.
- Identify potential legal and regulatory risks and escalate them appropriately.
- Support internal and external audits from a legal and compliance perspective.
3. Procurement Legal Compliance & Vendor Governance
- Review procurement processes from a legal and compliance perspective and ensure adherence to approved procurement policies and SOPs.
- Review vendor onboarding documentation and ensure appropriate legal and statutory documents are collected.
- Verify vendor documentation such as GST, PAN, registration certificates, declarations, agreements, bank details, licenses, and other applicable documents.
- Review and negotiate vendor contracts and service agreements.
- Support due diligence of vendors, consultants, agencies, and service providers.
- Ensure appropriate contractual safeguards are incorporated into procurement arrangements.
- Assist in handling contractual disputes, vendor non-performance, service-level issues, and breach-related matters.
- Maintain vendor agreements and legal documentation in an organized and audit-ready manner.
4. Risk Management & Legal Advisory Support
- Identify potential legal, contractual, operational, and compliance risks across organizational activities.
- Review business and operational processes from a legal-risk perspective.
- Provide preliminary legal inputs to HR, Finance, Procurement, Operations, and Program teams.
- Support management in understanding contractual obligations, risks, and implications.
- Assist in developing risk mitigation measures and appropriate documentation.
- Maintain a tracker of legal issues, disputes, notices, claims, and contractual concerns.
- Coordinate with external advocates and legal consultants for notices, disputes, litigation, and other legal matters when required.
5. CSR & Project Legal Documentation
- Review legal and contractual documentation related to CSR projects, implementation partners, vendors, consultants, institutions, and other stakeholders.
- Support drafting and review of MoUs, partnership agreements, grant agreements, implementation agreements, service agreements, and project-specific contracts.
- Ensure appropriate clauses relating to utilization of funds, reporting, deliverables, confidentiality, intellectual property, compliance, audit rights, termination, and liability are incorporated.
- Support legal due diligence of implementation partners and project stakeholders.
- Ensure project documentation is maintained in accordance with organizational and donor requirements.
6. Data Protection, Confidentiality & Intellectual Property
- Support compliance with applicable data protection and privacy requirements.
- Review confidentiality and data-sharing provisions in agreements with employees, vendors, partners, consultants, and other stakeholders.
- Support the organization in protecting intellectual property, proprietary information, content, processes, and other organizational assets.
- Review NDAs, confidentiality agreements, data-sharing agreements, and related documentation.
- Coordinate with relevant teams to ensure appropriate handling and protection of sensitive organizational information.
7. Legal Notices, Disputes & External Counsel Coordination
- Maintain records of legal notices, claims, disputes, and correspondence received or issued by the organization.
- Coordinate with external advocates and legal counsel on legal notices, disputes, litigation, and other legal matters.
- Assist in preparing documentation, factual summaries, and supporting records required by legal counsel.
- Track legal matters and ensure timely follow-up and closure.
- Maintain a centralized legal matter tracker for management review.
8. Procurement, Finance & Administrative Support
- Support procurement activities including quotation collection, comparative analysis, vendor evaluation, and purchase documentation.
- Coordinate with Finance for vendor invoices, payment documentation, reconciliations, and contractual payment obligations.
- Review supporting documentation before processing vendor payments wherever required.
- Support travel desk and logistics management, including vendor coordination and travel-related agreements.
- Assist in office administration, facility management, asset documentation, and service-provider management.
- Ensure administrative contracts and service arrangements are appropriately documented and renewed on time.
9. Policies, SOPs & Internal Governance
- Assist in drafting, reviewing, and updating organizational policies, SOPs, guidelines, and internal governance documents.
- Ensure policies are legally sound, practical, and aligned with applicable regulatory requirements.
- Review existing processes and recommend improvements from a legal, compliance, and risk-management perspective.
- Support management in strengthening internal controls and governance mechanisms.
- Conduct periodic reviews of legal and compliance documentation to identify gaps and recommend corrective actions.

Qualification & Experience
- LLB / LLM from a recognized university.
- 3–6 years of relevant experience in legal, contracts, compliance, corporate legal, procurement governance, or legal operations.
- Experience in contract drafting and review, vendor agreements, MoUs, NDAs, legal compliance, and regulatory documentation is essential.
- Experience in the CSR, NGO, social impact, consulting, development sector, or corporate environment will be an advantage.
- Candidates with experience working with external legal counsel, vendors, implementation partners, and multiple internal stakeholders will be preferred.
